AEP Systems

Merger with Netilla Networks and follow-on capital raise

AEP Systems Merger Advisory Case Study

Headquartered in Dublin, Ireland, AEP Systems is an e-security company delivering remote access, secure key modules and acceleration solutions. Boston Corporate Finance in collaboration with IBI Corporate Finance Limited in Ireland, both members of the M&A International Inc. alliance, worked together to advice AEP in a cross-border merger and subsequent funding with Netilla Networks. The combined entity, AEP Networks, immediately becomes a formidable global player in the enterprise IT marketplace by combining two complementary product ranges to provide a full spectrum of secure networking solutions.

This peer to peer merger highlights a recent trend for mid-market technology companies. Because technology players participate in a global arena, both their clients and partners can be found world wide. Having an organization such as M&A International Inc., with technology savvy investment bankers in local markets, is invaluable in closing complex cross-border transactions.

BCF and IBI members helped AEP to develop a strategic merger thesis, create valuation benchmarks, identify and contact merger candidates, structure and negotiate the terms of the merger and facilitated the follow-on funding round from ACT Venture Capital and b-business partners. Pat Donnellan, Chief Executive Officer of AEP Systems, who will now become CEO of the newly created AEP Networks commented, "The M&A International network and its members in Boston and Ireland had an unparalleled knowledge of the technology and security market and their experience in cross-border transactions was instrumental in consummating this merger."
