December 22, 2004 - Boston Corporate Finance Advises AEP Systems in Merger with Netilla

WESTWOOD, MA and DUBLIN, IRELAND - Boston Corporate Finance, Inc. (BCF), a technology-focused investment banking firm, in collaboration with IBI Corporate Finance Limited (IBI) in Ireland, announced today that it has successfullyadvised AEP Systems (AEP), in its merger and subsequent funding with Netilla Networks Inc. (Netilla). BCF and IBI which are partners in M&A International, Inc., the world’s leading international M&A network, worked as co-advisors to AEP inthis cross-border transaction.

Pat Donnellan, Chief Executive Officer of AEP Systems, who will now become CEO of the newly created AEP Networks commented, "The M&A International network and its members in Boston and Ireland had an unparalleled knowledge of the technology and security market and their experience in cross-border transactions was instrumental in consummating this merger."

AEP Networks, immediately becomes a formidable global player in the enterprise IT marketplace by combining two complementary product ranges to provide a full spectrum of secure networking solutions. The new company will providebest-of-breed high-security IPSec-based VPN solutions, SSL VPN and secure application access management products to address the security needs of companies within both the public and commercial markets. AEP Networks' solutions will enable both secure remote access as well as internal (site-to- site) communications. Concurrent to the merger, AEP Networks, also closed an additional funding round of $5 million from existing investors.

Existing investors in AEP Systems and Netilla are funding the new $5 million financing round. AEP's lead investors include ACT Venture Capital and b-business partners. Netilla's lead investor is Ascend Venture Group; also participating are Early Stage Enterprises, Masthead Venture Partners, Mid- Atlantic Venture Funds and NJTC Venture Fund.
